By completing the registration process, clicking the "I Accept" button, and using ICB, you are indicating that you agree to be bound by all of the terms in this Subscription Agreement. You may print and keep a copy of this Agreement. ICB Inc. may change the terms in this Subscription Agreement. When the terms are changed, ICB Inc. will notify you by e-mail or online postings.

By clicking the "I Accept" button, you also are agreeing that ICB Inc. may store the information you provided as part of the registration process, and provide aggregate statistical information ICB Toll Free Consultancy subscribers to potential advertisers.

The information available through ICB is the property of ICB, Inc. and is protected by copyright and other intellectual property laws. Information received through ICB may be displayed, reformatted and printed for your personal, non-commercial use only. You agree not to reproduce, retransmit, distribute, disseminate, sell, publish, broadcast or circulate the information received through ICB to anyone, including but not limited to others in the same company or organization, without the express prior written consent of ICB Inc., with this one exception:

You may, on an occasional and irregular basis, include insubstantial portions of information from ICB in memoranda, reports and presentations, but only if such memoranda, reports and presentations are distributed or otherwise made available in non-electronic form, for a noncommercial purpose, to a limited number of individuals. You must include in all such memoranda, reports and presentations all copyright notices from ICB and the information used, original source attribution, and the phrase "Used with permission from ICB TOLL FREE NEWS". You may not post any content from ICB to newsgroups, mail lists or electronic bulletin boards, without the prior written consent of ICB Inc.

ICB includes facts, views, opinions and recommendations of individuals and organizations deemed of interest. ICB does not guarantee the accuracy, completeness or timeliness of, or otherwise endorse, these views, opinions or recommendations, give tax or investment advice, or advocate the purchase or sale of any security or investment.

You agree to pay all charges incurred in connection with your user name and password for ICB (including any applicable taxes) at the rates in effect when the charges were incurred. ICB Inc. may change the Subscription Fees and charges then in effect, or add new charges, by giving you notice in advance. All charges incurred in connection with your user name and password will be billed to the credit card you designate during the registration process. If you want to designate a different credit card or there is a change in your credit card validity or expiration date, or if you believe someone has accessed ICB using your user name and password without your authorization, you must contact ICB Inc. at 1 800 843-3973. You also are responsible for any charges incurred to access ICB through an Internet access provider or other third party service. ICB INC. SHALL NOT BE LIABLE FOR ANY AMOUNTS BILLED TO YOUR CREDIT CARD BY A THIRD PARTY, WHICH WERE NOT AUTHORIZED BY YOU.

Due to the number of sources from which news and information on ICB is obtained, and the inherent hazards of electronic distribution, there may be delays, omissions or inaccuracies in such news, information and ICB. ICB Inc. AND ITS AFFILIATES, AGENTS AND LICENSORS CANNOT AND DO NOT WARRANT THE ACCURACY, COMPLETENESS, CURRENTNESS, NONINFRINGEMENT, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE OF THE NEWS AND INFORMATION AVAILABLE THROUGH ICB, OR ICB ITSELF. NEITHER ICB INC. NOR ANY OF ITS AFFILIATES, AGENTS OR LICENSORS SHALL BE LIABLE TO YOU OR ANYONE ELSE FOR ANY LOSS OR INJURY, OTHER THAN DEATH OR PERSONAL INJURY RESULTING DIRECTLY FROM USE OF ICB, CAUSED IN WHOLE OR PART BY ITS NEGLIGENCE OR CONTINGENCIES BEYOND ITS CONTROL IN PROCURING, COMPILING, INTERPRETING, REPORTING OR DELIVERING WSJIE AND ANY NEWS AND INFORMATION THROUGH WSJIE. IN NO EVENT WILL ICB INC., ITS AFFILIATES, AGENTS OR LICENSORS BE LIABLE TO YOU OR ANYONE ELSE FOR ANY DECISION MADE OR ACTION TAKEN BY YOU IN RELIANCE ON SUCH NEWS AND INFORMATION. DOW JONES AND ITS AFFILIATES, AGENTS AND LICENSORS SHALL NOT BE LIABLE TO YOU OR ANYONE ELSE FOR ANY DAMAGES OTHER THAN DIRECT DAMAGES (INCLUDING, WITHOUT LIMITATION, CONSEQUENTIAL, SPECIAL, INCIDENTAL, INDIRECT, OR SIMILAR DAMAGES) EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. YOU AGREE THAT THE LIABILITY OF DOW JONES, ITS AFFILIATES, AGENTS AND LICENSORS, IF ANY, ARISING OUT OF ANY KIND OF LEGAL CLAIM (WHETHER IN CONTRACT, TORT OR OTHERWISE) IN ANY WAY CONNECTED WITH ICB OR THE NEWS AND INFORMATION IN ICB SHALL NOT EXCEED THE AMOUNT YOU PAID TO ICB INC. FOR THE USE OF ICB.

You are responsible for all statements made and acts or omissions that occur while your password is being used.

Your subscription will continue until terminated by ICB Inc. or until you notify ICB Inc. by telephone or electronic mail of your decision to terminate your subscription. ICB Inc. may discontinue or change ICB, or its availability to you, at any time, and you may always terminate your subscription at any time. This Agreement is personal to you, and you may not assign your rights or obligations to anyone. If any provision in this Agreement is invalid or unenforceable under applicable law, the remaining provisions will continue in full force and effect. Subscriptions terminated by you during the first 60 days will be charged on a per diem basis from the first day of service. Subscriptions terminated by you after the first 60 days of service will be charged a minimum of eighty percent (80%) of the full subscription price plus a per diem rate for service made available from the first day of service. This Agreement, your rights and obligations, and all actions contemplated by this Agreement shall be governed by the laws of the United States of America and New York State, as if the Agreement was a contract wholly entered into and wholly performed within New York State. This Agreement will not be governed by the United Nations Convention on Contracts for the International Sale of Goods.
